I understand You, Mercury Studios Productions Ltd (company number 06736821) of 4 Pancras Square, London, N1C 4AG are producing content in connection with a concert with working title “Back to the Beginning” (including but not limited to a live stream, a theatrical film and inserts for display on large screens at the concert itself, and any derivatives of the same) (the “Content”).

I wish to contribute to the Content by providing you with audio-visual materials (the “Materials”).

For good and valuable consideration, receipt and sufficiency of which is acknowledged, I hereby agree as follows:

1. I grant to You a worldwide, royalty free, irrevocable, non-exclusive perpetual (forever) licence to use the Materials in the Content in all and any media now known or hereafter invented or developed.

2. I permit You and/or Your appointed representative to record, copy, cut, edit, dub, subtitle and/or otherwise reproduce the Materials in connection with the production, exploitation, promotion and/or advertising of the Content in accordance with the rights grant under this Licence.

3. I confirm I own and control all rights, title and interest in and to the Materials, and any underlying rights in the Materials, and I have the authority to enter into this Licence and grant the rights provided for herein.

4. I warrant that the exercise of such rights will not infringe the copyright or any other rights, consents, or property rights of any third party or be in breach of any statute or regulation or entitle any person to claim any payment from You.

5. I hereby irrevocably waive any so-called “moral rights of authors” in the Materials and the Content and such rights under sections 77 to 85 and sections 205C and 205N inclusive of the Copyright Designs and Patents Act 1988 (“Act”) as I now have or hereafter acquire in relation to the Materials or the Content. I hereby grant You all consents which are or may be required under Part II of the Act and any statutory modifications or re-enactment thereof, or pursuant to any other law in any jurisdiction, for the exploitation of the Materials as set out in this Licence.

6. I understand and acknowledge that You are not obliged to use the Materials.

7. I agree that You shall be entitled to assign the benefit and rights granted herein to exploit the Content.

8. I shall in no event have the right to rescind this Licence or terminate the rights granted under this Licence or to injunct or restrain the products of the Materials or the Content (or any part thereof) (including without limitation the production, exhibition, broadcast, distribution, advertising, publicity or exploitation of the Content (of any part thereof) or any products deriving from it.

9. You shall be entitled to use my name, voice, photograph, likeness and/or biographical material in connection with Your rights under this Li-cence. I acknowledge that you will collect and process personal data for the purpose of the performance of this agreement, or fulfilling your contractual obligations to third parties, and Your privacy policy can be found at umusic.co.uk/privacy.html.

10. This Licence constitutes the entire agreement between us and supersedes all prior discussions and negotiations.

11. I shall indemnify You for any losses, claims, costs, expenses, actions, damages and liabilities (including without limitation, legal fees any sums paid on the advice of counsel) incurred by You as a result of any direct or indirect breach of my obligations, warranties or other terms contained in or implied under this Licence.

12. The provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to this Licence and no term or condition shall confer or be construed as conferring any right on any third party.

13. This Licence shall be governed by and interpreted in accordance with laws of England & Wales and any dispute or claim (contractual or non-contractual) arising out of or in connection with it shall be subject to the exclusive jurisdiction of English courts.
